1. Agreement to Terms

These Terms of Service ("Terms") are a binding legal agreement between you and Razor Tools ("we," "us," or "our") governing your access to and use of the website, applications, software, automation tools, APIs, and services operated by Razor Tools (collectively, the "Service"). By accessing, registering for, funding, or using the Service in any way, or by clicking to accept these Terms, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional rules, limits, or per-tool terms posted within the Service, all of which are incorporated by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" includes that organization. If you do not agree to these Terms in full, you must not access or use the Service.

2. Eligibility and Accounts

You must be at least the age of majority in your jurisdiction and not barred from using the Service under any applicable law, sanctions regime, or prior suspension. You are solely responsible for safeguarding your account credentials and API keys and for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately of any actual or suspected unauthorized use. We are not liable for any loss arising from your failure to protect your credentials. We may, in our sole discretion and without liability, refuse registration, suspend, restrict, or terminate any account, with or without notice, including where we suspect a violation of these Terms, fraud, abuse, or risk to the Service or others.

3. Acceptable Use

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purpose, subject to these Terms. You agree that you will not, and will not permit any third party to:

• Violate any applicable law, regulation, sanction, or third-party right.
• Use the Service for any illegal, fraudulent, infringing, or harmful purpose.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems, infrastructure, or networks.
• Probe, scan, overload, interfere with, or disrupt the integrity, security, or performance of the Service.
• Reverse engineer, decompile, disassemble, scrape, or extract source code or data from the Service except where expressly permitted by non-waivable law.
• Resell, sublicense, rent, or commercially exploit the Service beyond the use we expressly permit.
• Circumvent, manipulate, exploit, or attempt to defeat any billing, balance, rate-limit, metering, authentication, or security mechanism.
• Submit credentials, tokens, or accounts that you do not own or are not authorized to use.
• Use the Service in any manner that could harm, harass, defame, or negatively affect us, other users, or any third party.

We reserve the right, but are under no obligation, to monitor, investigate, and enforce these restrictions, and to modify, suspend, or discontinue the Service or any part of it at any time, with or without notice and without liability to you.

4. Third-Party Platforms, Accounts, and Assumption of All Risk

The Service includes tools that operate on, automate, or interact with third-party platforms, networks, and services (including, without limitation, Discord), and that act upon the accounts, user tokens, login credentials, payment instruments, proxies, and other materials that you supply (collectively, "Your Accounts and Materials"). We do not own, operate, or control any such third-party platform, and we are not affiliated with, endorsed by, or sponsored by any of them.

You acknowledge and agree that you use the tools entirely at your own risk, and that we are not responsible or liable for anything that happens to any account, token, credential, or asset that you use in, connect to, or process through any tool. This includes, without limitation: the suspension, limitation, locking, banning, disabling, deletion, or permanent loss of any account; the loss, theft, reset, invalidation, or compromise of tokens, passwords, or credentials; the loss of Nitro, boosts, balances, badges, virtual items, server memberships, or other assets; rate-limiting, flagging, verification challenges, or detection by a third-party platform; data loss or corruption; and any action a third-party platform takes against you for any reason. You assume full and sole responsibility for all such outcomes.

Automating or using third-party platforms through the Service may violate those platforms' own terms of service, rules, or policies. You are solely responsible for determining whether your use is permitted, for complying with all applicable third-party terms and laws, and for any consequences of your use. We do not warrant that any tool will function, will achieve any result, or will avoid detection, restriction, or penalty by any third-party platform. You represent and warrant that you own or are fully authorized to use Your Accounts and Materials, and that providing them to the Service does not violate any law, contract, or third-party right.

5. User-Supplied Materials

To run the tools you select, you grant us a limited license to store, process, and transmit Your Accounts and Materials solely as needed to operate those tools at your direction, including transmitting them to the relevant third-party platforms. You are solely responsible for the legality, accuracy, and ownership of everything you submit. While we apply reasonable safeguards, no transmission or storage is completely secure, and we do not guarantee the confidentiality, integrity, or availability of any credentials or materials you provide. You should treat any token or credential you submit to any online tool as potentially exposed and rotate it as appropriate.

6. Balance, Pay-As-You-Go Fees, and Refunds

The Service operates on a pay-as-you-go model. You fund your account by creating a top-up invoice and sending Litecoin (LTC) to the deposit address shown on that invoice. Invoices expire after a fixed period; LTC sent after expiration, to a wrong address, in a wrong amount, on a wrong network, or outside the tolerance shown on the invoice may not be credited, and you assume full responsibility for such losses. The USD-equivalent credited to your balance is based on our live LTC/USD rate at the time the invoice is created; we are not responsible for price movements between invoice creation and on-chain confirmation, nor for any blockchain delay, fork, reorganization, or failure outside our control.

Once credited, funds are deducted from your balance only when a tool produces a successful action (as defined per tool in the dashboard and product pages), at the per-action price displayed at the time of use. Prices and definitions of a billable action may change prospectively; changes do not affect usage already billed.

Because payments are made in cryptocurrency and usage is metered and consumed as soon as it is delivered, all deposits and all pay-as-you-go charges are final and non-refundable except where a refund is required by non-waivable law. We do not reverse charges for successful actions you chose to initiate, and a poor or unwanted outcome on a third-party platform (including any result described in Section 4) is not grounds for a refund. You are responsible for all taxes applicable to your use. Any attempt to exploit, replay, double-spend, or reverse a top-up payment, or to manipulate balance, pricing, or usage records, may result in immediate suspension or termination and forfeiture of any remaining balance, in addition to any other remedy available to us.

7. No Guarantees

The Service is provided for your convenience only. We make no representation or guarantee that any tool will be available, will function as expected, will produce any particular result, or will be free of errors, interruptions, or detection by third parties. Nothing in the Service constitutes professional, legal, financial, or other advice, and you are responsible for your own decisions.

8. Intellectual Property

The Service, including but not limited to software, design, text, graphics, logos, and other content, is owned by Razor Tools or its licensors and is protected by copyright, trademark, and other intellectual property laws. You do not acquire any ownership rights by using the Service. You may not copy, modify, distribute, or create derivative works from our content or software without our prior written consent. All rights not expressly granted are reserved.

9. Disclaimers

THE SERVICE AND ALL TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR SECURE, THAT ANY TOOL WILL ACHIEVE ANY RESULT, OR THAT YOUR USE WILL NOT RESULT IN THE RESTRICTION, BANNING, OR LOSS OF ANY THIRD-PARTY ACCOUNT, TOKEN, OR ASSET. YOU USE THE SERVICE AND ALL TOOLS AT YOUR SOLE AND ENTIRE RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN SUCH CASES, THE ABOVE EXCLUSIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAZOR TOOLS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OPERATORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, BALANCE, CRYPTOCURRENCY, ACCOUNTS, TOKENS, ASSETS, REVENUE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, ANY TOOL, OR ANYTHING THAT HAPPENS TO ANY ACCOUNT OR MATERIAL YOU USE WITH IT, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) TEN U.S. DOLLARS (US$10). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Release

To the maximum extent permitted by law, you hereby release, waive, and forever discharge Razor Tools and its affiliates, officers, operators, employees, and agents from any and all claims, demands, damages, and liabilities of every kind, known or unknown, arising out of or in any way connected with the Service or with any loss of, damage to, or action taken against any account, token, credential, or asset you use in, connect to, or process through any tool. If you are a resident of a jurisdiction that limits such releases, you waive the benefit of any law that would otherwise limit this release to the extent permitted.

12. Indemnification

You agree to indemnify, defend, and hold harmless Razor Tools and its affiliates, officers, directors, employees, operators, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or any tool, Your Accounts and Materials, your violation of these Terms, your violation of any third-party platform's terms, your violation of any law or third-party right, or any content or activity associated with your account. We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you will cooperate with us.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including Sections 4–12, 14, and this sentence) will survive termination. We are not liable to you or any third party for any suspension or termination of your access.

14. Governing Law, Disputes, and Class-Action Waiver

These Terms are governed by the laws of the jurisdiction in which Razor Tools operates, without regard to conflict-of-law principles and excluding the U.N. Convention on Contracts for the International Sale of Goods. To the extent permitted by law, any dispute arising from or relating to these Terms or the Service shall be resolved exclusively through final and binding individual arbitration or, where arbitration is unavailable, in the courts of that jurisdiction, and you consent to personal jurisdiction there. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You waive any right to a jury trial to the extent permitted by law. Any claim must be brought within one (1) year after it arises, or it is permanently barred to the extent permitted by law.

15. Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, outages, network or hosting failures, blockchain disruptions, changes or actions by third-party platforms, cyberattacks, or governmental action.

16. Assignment

You may not assign or transfer these Terms or your account without our prior written consent, and any attempt to do so is void. We may freely assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, or sale of assets.

17. Changes to the Terms

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated via the Service or by email where appropriate. Your continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may close your account.

18. General

These Terms, together with our Privacy Policy and any per-tool terms, constitute the entire agreement between you and Razor Tools regarding the Service and supersede any prior agreements. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions remain in full force and effect. Our failure to enforce any right or provision does not waive that or any other right or provision, and no waiver is effective unless in writing. Nothing in these Terms creates any partnership, agency, employment, or fiduciary relationship between you and us.
