1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and Razor Tools ("we," "us," or "our") governing your access to and use of the website, applications, and services operated by Razor Tools (the "Service"). By accessing or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility and Accounts

You must be at least the age of majority in your jurisdiction and not prohibited from using the Service under applicable law. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or for any other reason we deem necessary to protect the Service or others.

Payment terms are final unless otherwise stated in a separate refund policy or required by law. We do not guarantee refunds except as explicitly stated in our refund policy or under applicable consumer law. Chargebacks or payment disputes may result in immediate suspension or termination of your account and access to purchased products.

5. Intellectual Property

The Service, including but not limited to software, design, text, graphics, logos, and other content, is owned by Razor Tools or its licensors and is protected by copyright, trademark, and other intellectual property laws. You do not acquire any ownership rights by using the Service. You may not copy, modify, distribute, or create derivative works from our content or software without our prior written consent.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR SOLE RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN SUCH CASES, THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAZOR TOOLS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES; IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless Razor Tools and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any law or third-party rights, or any content or activity associated with your account.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including Sections 5–8 and this sentence) will survive termination. We are not liable to you or any third party for any termination of your access.

10. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Razor Tools operates, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the courts of that jurisdiction, and you consent to personal jurisdiction there. You waive any right to a jury trial or to participate in a class action to the extent permitted by applicable law.

11. Changes to the Terms

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated via the Service or by email where appropriate. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may close your account. No waiver of any term shall be deemed a further or continuing waiver of that or any other term.

12. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Razor Tools regarding the Service and supersede any prior agreements. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision does not waive that right or provision.
